These Terms of Service ("Terms") govern your access to and use of Owlio Inc.'s ("Owlio," "we," "our," or "us") mobile application, website, integrations, and services (collectively, the "Services"). By accessing or using the Services, you agree to comply with these Terms. If you do not agree, please refrain from using our Services.

1. 1. Acceptance of Terms
   
   By accessing or using the Services, you accept and agree to be bound by: these Terms, our Privacy Policy, any integration-specific terms or consent flows. You must be at least 13 years old to use the Services. If you are under 18, you represent that your legal guardian has reviewed and agreed to these Terms.
2. 2. Changes to Terms
   
   We may update these Terms from time to time. When changes apply, they become effective once posted. We will notify you of material updates. Continued use of the Services constitutes acceptance of revised Terms.
3. 3. User Accounts
   
   Registration: Certain features require creating an account and providing accurate information.
   
   Security: You are responsible for safeguarding your account and credentials and for activity conducted through your account. Notify us immediately of suspected unauthorized access.
4. 4. Use of the Services
   
   License: We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal or authorized business purposes.
   
   Restrictions: You agree not to: violate applicable laws or rights of others, reverse-engineer or interfere with the Services, misuse integrations or third-party platform data, engage in unauthorized scraping or automated outreach. We reserve the right to suspend or terminate access for violations.
5. 5. Third-Party Integrations and Platform Data
   
   Our Services may allow you to connect to third-party platforms such as LinkedIn, Meta, Google, CRMs, cloud services, or workflow automation tools. By enabling these integrations: You authorize us to access information permitted by that platform. You agree to comply with the third-party provider's policies. You acknowledge that processing of imported data is governed by our Privacy Policy. You may disconnect integrations at any time, and we will stop processing new data and delete previously synchronized third-party lead data in accordance with our deletion policy.
6. 6. Content and Intellectual Property
   
   User Content: You retain ownership of content you upload but grant Owlio a limited license to use such content solely to operate and improve the Services.
   
   Owlio Content: All materials provided by Owlio are our property. You may not copy, modify, distribute, or exploit Owlio intellectual property without permission.
7. 7. Data Processing and Attribution
   
   If you use Services that synchronize leads or workflow data from integrated platforms, you: represent that you have lawful permission to process these leads, acknowledge that follow-up actions must remain human-initiated and supervised, agree not to use platform data for unauthorized targeting or automated messaging. We process lead data only as described in our Privacy Policy.
8. 8. Fees and Payments
   
   Some features require payment. Fees are billed as disclosed at purchase. All fees are non-refundable unless required by applicable law or stated otherwise.
9. 9. Third-Party Links
   
   Our Services may include links to external services we do not control. We are not responsible for their content or practices.
10. 10. Disclaimer of Warranties
    
    Services are provided "as-is" and "as-available," without warranties of any kind. We do not guarantee uninterrupted access, error-free performance, or security beyond commercially reasonable measures.
11. 11. Limitation of Liability
    
    To the fullest extent permitted by law, Owlio and its affiliates are not liable for indirect or consequential damages, including loss of revenue, customers, or data.
12. 12. Indemnification
    
    You agree to indemnify and hold harmless Owlio, its employees, and affiliates from claims arising from your use of the Services or violation of these Terms.
13. 13. Suspension and Termination
    
    We may suspend or terminate your access if: you violate these Terms, misuse third-party platform data, engage in abusive, unauthorized, or risky activities. Upon termination, your rights under these Terms will immediately cease.
14. 14. Governing Law
    
    These Terms are governed by the laws of the State of Delaware. Any disputes must be resolved exclusively in a court located within Delaware, unless applicable law requires otherwise.
